Terms of Service

These Terms of Service ("Terms") govern your use of the GlyphFex website at glyphfex.com ("Website") and your purchase of GlyphFex software licenses. By accessing the Website or purchasing a license, you agree to be bound by these Terms.

1. Definitions

  • "GlyphFex", "we", "our", or "us" refers to GlyphFex Software, a sole proprietorship operated by John Philippe Abellanosa and registered in Manitoba, Canada.
  • "Software" refers to the GlyphFex desktop application.
  • "You" or "Customer" refers to the individual or organization purchasing or using the Software.
  • "License" refers to the right to use the Software under the terms of the End User License Agreement.
  • "Payment Processor" refers to Lemon Squeezy (Stripe Inc.), our merchant-of-record partner that handles all purchases, renewals, refunds, and tax collection on our behalf.

2. Account and Purchases

2.1 Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or your organization.

2.2 Pricing

All prices are listed in US Dollars (USD) and are subject to change with 30 days' notice to existing customers. Current pricing is displayed on our pricing page. Prices do not include applicable taxes, which are your responsibility.

2.3 Payment

Licenses are billed annually. Payment is due at the time of purchase and upon each annual renewal. We accept payment methods as displayed during checkout. All payments are processed by our Payment Processor (Lemon Squeezy), who acts as the merchant of record and handles tax collection and remittance on our behalf in every jurisdiction where you purchase.

2.4 Renewals

Annual licenses renew automatically unless canceled before the renewal date. You may cancel your subscription at any time through the customer portal provided by our Payment Processor, or by contacting us directly. You will receive a reminder email at least 7 days before each renewal.

2.5 Refund Policy

We offer a free evaluation of GlyphFex (up to 50 entries, unlimited time) so you can evaluate the Software before purchasing. After purchase, we offer a 30-day money-back guarantee. If you are not satisfied within 30 days of purchase, contact us for a full refund. See our Refund Policy for full details, including handling of partial periods and renewals.

3. Free Evaluation

GlyphFex offers a free evaluation with full functionality, capped at 50 entries per project. There is no time limit on the evaluation and no credit card is required. At the 50-entry limit, the Software continues to run in read-only mode for your existing entries; to create additional entries you may purchase a license at any time. Your data remains yours and remains accessible regardless of license status.

4. License Terms

Use of the GlyphFex Software is governed by the End User License Agreement (EULA), which is incorporated into these Terms by reference. By purchasing a license, you agree to the EULA.

5. Software Editions

GlyphFex is available in the following editions:

  • Solo: Single-user license for individual use with SQLite database.
  • Team (Admin): Administrative license for SQL Server multi-user deployment. Includes configuration and user management capabilities.
  • Team (Editor): Per-seat license for users who create and edit entries in team mode.
  • Team (Viewer): Free, unlimited read-only access for team members who only need to view data.

6. Data Ownership

Your data is yours. All entries, attachments, audit trails, and configurations you create using GlyphFex belong to you. We have no access to your data and make no claim to it. If you stop using GlyphFex, you retain full access to your .glyphfex files, which are standard SQLite databases. You can export all data to CSV, PDF, or Excel at any time.

7. Support

All licenses include email support. We aim to respond within 2 business days. Team (Admin) licenses include priority support with faster response times. Support is provided in English and French.

8. Availability and Updates

GlyphFex is a desktop application that runs on your local machine. It does not depend on our servers to function. Software updates are provided during your active subscription period. You are not required to install updates. We do not guarantee backward compatibility of older versions with newer file formats.

9. Limitation of Liability

To the maximum extent permitted by law:

  • GlyphFex is provided "as is" without warranty of any kind, express or implied.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages.
  • Our total liability to you shall not exceed the amount you paid for your most recent annual license.
  • We are not responsible for data loss resulting from hardware failure, corruption, or user error. You are responsible for maintaining backups of your data.

10. Intellectual Property

GlyphFex, including its design, code, documentation, and branding, is the intellectual property of GlyphFex. Your license grants you the right to use the Software, not to copy, modify, distribute, or reverse-engineer it.

11. Termination

You may cancel your subscription at any time. We may terminate your license if you violate these Terms or the EULA. Upon termination, your access reverts to read-only mode. Your data remains accessible and exportable.

12. Governing Law

These Terms are governed by the laws of the Province of Manitoba, Canada, and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Manitoba, Canada.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to active customers at least 30 days before taking effect. Continued use after changes take effect constitutes acceptance.
