IMPORTANT: Please read this End User License Agreement ("EULA" or "Agreement") carefully before installing or using GlyphFex. By installing, copying, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.
A Solo license grants you, the individual purchaser, a non-exclusive, non-transferable right to install and use one (1) copy of GlyphFex on one (1) computer for personal or business use. You may install it on a second computer (e.g., a laptop) provided that both copies are not used simultaneously.
A Team Admin license grants one (1) organization the right to install GlyphFex Admin edition on one (1) computer and connect to a shared SQL Server database. The Admin license includes project configuration, user management, and all Editor capabilities.
Each Team Editor license grants one (1) named user the right to install and use GlyphFex Editor edition on one (1) computer, connecting to a shared SQL Server database. Editor licenses are per-seat and non-transferable between users without prior reassignment.
Viewer editions are provided free of charge. Any number of users may install and use GlyphFex Viewer edition to access a shared SQL Server database in read-only mode. Viewer users may not create, edit, or delete entries.

If your subscription expires or is canceled:
All data you create using GlyphFex, including entries, tags, attachments, audit trails, and configurations, is and remains your exclusive property. GlyphFex makes no claim to your data. Your .glyphfex files are standard SQLite databases that can be read with any SQLite-compatible tool.
GlyphFex does not collect, transmit, or store your business data. License validation may require periodic communication with our licensing server, transmitting only your license key and a machine identifier. See our Privacy Policy for details.
GlyphFex, including all code, design, documentation, icons, and branding, is the intellectual property of GlyphFex and is protected by copyright, trademark, and other intellectual property laws. This Agreement does not transfer ownership of the Software to you. You receive only the rights explicitly granted in this Agreement.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GLYPHFEX DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GLYPHFEX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SOFTWARE.
GLYPHFEX'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR MOST RECENT ANNUAL LICENSE FEE.
You agree to indemnify and hold harmless GlyphFex from any claims, damages, or expenses arising from your use of the Software, your violation of this Agreement, or your violation of any rights of a third party.
You are solely responsible for maintaining backups of your data. GlyphFex is not responsible for data loss resulting from hardware failure, software corruption, accidental deletion, or any other cause. We strongly recommend implementing a regular backup strategy for your .glyphfex files and SQL Server databases.
You agree to comply with all applicable export and import laws and regulations when using the Software. The Software may not be exported or re-exported to any country or entity subject to Canadian or international trade sanctions.
This Agreement is effective until terminated. We may terminate your license immediately if you breach any term of this Agreement. Upon termination:
This Agreement shall be governed by and construed in accordance with the laws of the Province of Manitoba, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal proceedings shall be brought exclusively in the courts of Manitoba, Canada.
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and GlyphFex regarding the Software and supersedes all prior agreements and understandings.
